Registered Office & Registered Agent

At Peregrine, we provide both Registered Office and Registered Agent services.

Registered Office

There is a requirement for all Isle of Man companies to have a registered office on the Isle of Man. This registered office is the address held on public record at the Isle of Man Company Registry.

As well as being a service address, the registered office should hold the company's statutory documents including but not limited to:

  • The Memorandum and Articles of Association
  • The register of members 
  • The register of Directors
  • The register of charges

With its long established address at Burleigh Manor, Peregrine Corporate Services can provide registered office facilities for clients, proactively monitoring correspondence and maintaining statutory records on behalf of the client.

Registered Agent

In contrast to the traditional 1931 Act Company, Isle of Man 2006 Act Companies only require one director and they do not need a company secretary. Instead, it is a requirement for a 2006 Act company to have a Registered Agent in place.

The Registered Agent is responsible for ensuring that the company is administered correctly, including the maintenance and submission of statutory filings as well as retaining company records including:

  • Financial statements & Accounting records
  • The Memorandum and Articles of Association
  • The register of members 
  • The register of Directors
  • The register of charges
  • Minute books

As a Corporate Service Provider licensed by the Isle of Man, Peregrine Corporate Services can also provide Registered Agent Facilities, a requirement for all 2006 Act Companies.

Although the Registered Agent can be at a different address from the companies registered office, Peregrine can assist clients by providing both facilities, and our proactive approach ensures that clients are compliant with their statutory obligations and are quickly informed of any notices or correspondence issued to the address.
